EE reserves the right, in its sole discretion, to revoke this license at any time, including passwords, Account details (or any part of your Account), and any content.

EE and all Trademarks used on the Website (or used in connection to the Website) are trademarks or registered trademarks that are either owned by or licensed to EE.

EE requires that all individuals who access or use the Website are at least 18 years old. We reserve the right to deny, in our sole discretion, any access or use of the Services without notice for any or no reason.

2.5 Using the Website or Services

By using or accessing the EE Website and/or Services, you agree that your use or access will be in strict compliance with these Terms. You also agree to follow any and all applicable laws and regulations, including (without limitation) country, state, city, or other governmental area laws. This also includes online conduct, acceptable content and the transmission of data exported from the United States or the country where you reside.

2.6 Member Accounts

When you register to become a Member of EE, you will create a username and password to access your Account. It is your responsibility to keep your login details confidential.

You are also responsible for any activity that occurs under your Member Account, and you agree with the following:

• To immediately notify EE when there is any unauthorized access to your Member Account or use of your login credentials.
• To log out from your Account when you exit the Website.

You should take steps to protect against unauthorized access to your password, phone, and computer by, among other things, signing off after each session, choosing a robust password that nobody else knows or can easily guess, keeping your log-in and password private and in a safe place, and not recycling passwords from other websites or accounts. EE is not liable for the unauthorized use of your Account, nor for any lost, stolen, or compromised passwords, nor for any damage or loss due to non-compliance with this section or via unauthorized password activity.

3. Third-Party Content

On the EE Website and as part of our Services, you may be able to access and/or use content or material (including software) made available via third-party websites and services. Please note that EE cannot guarantee that the content will be free of material you find objectionable or appropriate. EE does not represent or endorse any third-party content or materials, and EE doesn't make claims that the third-party content is accurate, useful or non-harmful. As a result, except as expressly set forth in these Terms, EE specifically disclaims any and all warranties and conditions, express or implied, including, but not limited to, warranties of fitness for a particular purpose or merchantability.

Additionally, any information communicated in any medium (oral or written) that you obtain from the Website, EE or EE’s employees or agents shall not create a warranty that is not specifically stated in these Terms.

By using the Website and/or Services, you hereby agree that EE makes no warranties, representations or promises, including, but not limited to, that the Website will meet your requirements or expectations, that the Website will be uninterrupted, secure and error-free, or that results from the Website will be accurate, reliable, complete or current. EE further makes no warranties, representations or promises that using our Website will help you achieve what you desire or that errors on the Website will be corrected.

You use the Services and the Website at your sole risk. Any material downloaded or obtained from the Website is done at your own risk and you acknowledge that you are solely responsible for any damage to your device or loss of data resulting from obtaining any content from the Website, including downloaded materials, even if EE has been advised of or is aware of the risk of such damage.

EE is not responsible in any way for the accuracy of information on the Website, human errors or transactional mistakes, technical problems, lost or delayed communications, disruptions of service, or anything similar.

5. General Release and Waiver of Liability

You agree that your use and access of the EE Website and/or Services is done at your own risk. As EE provides access and use of our Website, you agree to release and waive EE from all claims, demands or causes of action of any kind, nature or description. This applies to claims arising from law, equity, contract or tort, under the jurisdiction of any state or federal law, and it applies to claims you have had, now have or claim to have against EE, regardless of whether it was by reason of any act, omission, matter, cause or thing whatsoever. EE shall not be liable for the above damages whether in an action based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not EE has been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Indemnification

You agree to defend, indemnify, and hold harmless EE, its officers, directors, employees, agents, licensors, and suppliers (to the maximum extent permitted by law) from and against any and all claims, actions or demands, losses, damages, fines, penalties, liabilities and settlements, including, without limitation, reasonable legal and related fees and expenses, resulting from, or alleged to result from, your violation of these Terms or your use of the Services. We reserve the right to assume exclusive control of our defense in any matter subject to your indemnification, which shall not excuse your obligation to indemnify EE. You shall not settle any dispute subject to your indemnification under these Terms without written consent from EE.

8 General Provisions

8.1 Survival

All rights and obligations that are detailed within these Terms shall survive the termination of these Terms.

8.2 Interpretation of Terms

The definitions of the terms in these Terms of Service are provided for your convenience and for better comprehension, but they do not affect the provisions of these Terms. As such, singular terms shall be plural, and plural terms shall be singular. In the same vein, masculine, neutral and feminine terms shall include the masculine, neutral and feminine, depending on the context. Lastly, the words "include" and "including" shall include the caption "without limitations" at every instance.

8.3 Time

Time is of the essence with respect to all dates and time periods detailed in these Terms.

8.4 Notices

By using or accessing the EE Website or Services, you agree to the following methods of providing you notices:

• Banners and other notices published on the Website.
• Emails sent to the email address that you provide to us during registration as a Member or any other time.
• Other means, including (without limitations) telephone, mail, or text messages.

Please be aware that it is your responsibility to keep your Member Account and contact information updated.

8.5 No Third-Party Beneficiaries

Unless explicitly stated otherwise, these Terms grant no third-party beneficiary rights.

8.6 No Partnerships or Joint Ventures

By using or accessing the EE Website or Services, you agree that no independent contractor, partnership, joint venture, employer-employee, or franchiser-franchisee relationship or intention is created. You shall not have any authority, nor shall you be held toa third-party claiming authority, to take out any action binding on EasyExport, unless explicitly stated or authorized in writing by EasyExport.

8.7 Waiver

If EE fails to enforce these Terms or a provision in these Terms, it is not a waiver of EE's rights to enforce them later. Waivers shall not be binding unless signed by the waiving party.

8.8 Severability

If any provision or a part of any provision detailed in these Terms is found by an arbitrator or a court of competent jurisdiction to be invalid, void, or unenforceable, then the provision or the part of the provision shall be modified so that it is enforceable to the maximum extent possible (according to the modified provisions). If the modified provision is still considered to be unenforceable, then it shall not impact the enforceability of other provisions or parts of provisions detailed in the Terms, which shall remain in full effect.

8.9 Entire Agreement

The Terms of Service, together with our Privacy Policy and, upon your registration as a Member, our Terms and Conditions, represent the entire agreement between you and EE in relation to your use and access of the EE Website and/or the Services. There are no representations, warranties or any other promises outside of these Terms, our Privacy Policy, and our Terms and Conditions.

8.10 Controlling Law and Jurisdiction

These Terms will be governed by the laws of the State of Florida, without regard to or application of its conflict of laws principles or your state or country of residence. You and EE irrevocably agree to submit to the personal jurisdiction of, and to bring any claim, action, or proceeding, in the courts of the State of Florida, sitting in Miami-Dade County, and/or the federal district court for the Southern District of Florida.
